In the System Terms
CERTAINTY Platform — Terms of Use
1. General and Definitions
1.1 These Terms govern the use of the CERTAINTY platform (the "System"), operated by Certainty at app.certainty-solutions.com and any successor address.
1.2 "Client" — the entity engaged with the Operator for process-discovery and automation-implementation services, under whose authorization users access the System. "User" — an employee or authorized person on the Client's behalf who received a personal access link. "Content" — any answer, note, file or recording a User submits.
1.3 The System operates as a pilot. Access through a personal link constitutes acceptance of these Terms. Anyone who does not agree is asked not to use the System and to contact the Operator or the Client.
2. Nature and Purpose of the System
2.1 The System serves to map the Client's work processes for the planning and implementation of automation, by presenting understandings derived from analysis of organizational work data, requesting confirmation, refinement or correction from Users, and collecting requirements and preferences (the "Processing Purpose").
2.2 It is expressly clarified: the System, its data and outputs are not intended for, and shall not be used for, individual employee performance evaluation, employment decisions regarding a specific employee, or employee monitoring — neither by the Operator nor by the Client. Displayed data reflects activity in specific systems only and is not a measure of any person's work or output.
3. Basis of Data Access and Notice
3.1 The organizational data analyzed (email, calendars, files and management systems) was collected and processed under the authorization of the Client, which is the controller of the relevant databases, pursuant to a policy made known to employees and in accordance with applicable law. The Operator acts as holder and processor on the Client's behalf, within the Processing Purpose only.
3.2 The Client undertakes to inform its employees, prior to activation, of the processing, its purpose, the data categories, the retention period and their rights, as required by law and case law.
3.3 Should a User believe that private information unrelated to work was included in the analysis — they may contact us per Section 12, and the Operator will review and exclude the information as required.
4. Privacy and Data Protection
4.1 The Operator complies with the Israeli Protection of Privacy Law and the Data Security Regulations, including: encryption in transit and at rest, access-permission management, security-event logging, data minimization, and pseudonymization of identities in analysis layers. The mandatory documents (database definitions, security procedure, systems mapping) are maintained and kept current.
4.2 Purpose limitation: data and Content will be processed for the Processing Purpose only. No identified data will be transferred to a third party except with the Client's written authorization or under legal obligation. No processing for marketing, cross-client profiling, or training of general models.
4.3 Data-subject rights: a User may review data about them held in the System and request its correction or deletion, subject to law and reasonable technical limits; contact per Section 12, with response within a reasonable time and no later than as prescribed by law.
4.4 A severe security event will be reported to the Privacy Protection Authority and to the Client per statutory reporting duties.
4.5 Retention: source data is retained for the service period and deleted at its end per the agreement with the Client; approved rules and outputs — which are not identified personal data — remain as service deliverables.
5. User Content and Screen Recordings
5.1 Submitting Content, including screen recording, is at the User's initiative and control; starting, ending and uploading a recording occur only by the User's explicit action. The System records nothing without such action.
5.2 Users are asked to avoid including unnecessary private information (including sensitive data as defined by law, third-party information not required, and passwords) in Content and recordings. If included inadvertently — contact per Section 12 and it will be excluded or deleted.
5.3 Content is stored encrypted, accessible to a limited authorized Operator team for the Processing Purpose only, and governed as data under Section 4.
6. Access Authorization, Personal Link and Security
6.1 Access is via a personal link/account, which is personal and non-transferable; the User shall safeguard them and notify the Operator of any suspected unauthorized use.
6.2 The Operator may suspend access upon suspected misuse, breach of these Terms or security risk, and will notify the Client.
7. Intellectual Property
7.1 The System, engine, methodology, design, trademarks and all components are the exclusive property of the Operator or its licensors. Use of the System grants no right in them.
7.2 User Content is provided for the Processing Purpose; the Client's rights in service deliverables are as set in the Operator–Client agreement.
7.3 No copying, reverse-engineering, reproduction or distribution of any System component without express written permission.
8. Availability, "As-Is" and Limitation of Liability
8.1 The System is provided as-is and as-available. The Operator will act to maintain reasonable availability but does not warrant uninterrupted, fault-free operation.
8.2 Understandings, analyses and recommendations displayed are discovery aids only; they are not binding professional advice, and implementation decisions and operational responsibility rest with the Client.
8.3 Subject to any law, the Operator's liability toward a User in connection with the System is limited to direct proven damage and shall not exceed the amounts set for this purpose in the Operator–Client agreement; the Operator shall not be liable for indirect or consequential damage or loss of profit. Nothing here derogates from liability that cannot be limited by law, including under the Protection of Privacy Law.
9. User Undertakings
9.1 Personal, fair and reasonable use, for the System's purpose only; no circumvention of security mechanisms, scanning or intrusion, malicious content, or use harming third parties or the law.
9.2 Users will provide information true to the best of their knowledge. There is no obligation to provide information, and non-provision will not be held against a User; the quality of discovery deliverables depends on cooperation.
10. Changes to the Terms and the System
10.1 The Operator may update these Terms; the updated version will be displayed in the System, and any material update will be displayed before continued pilot use. Version and date are logged in the System.
10.2 The Operator may modify the System's structure and features; a change that does not materially derogate from User rights requires no prior notice.
11. Termination, Suspension and Deletion
11.1 Upon termination of the Operator–Client engagement — access will be blocked, and source data and Content will be deleted or returned per the agreement and the law, except approved deliverables per Section 4.5 and copies required by law.
12. Inquiries, privacy officer, and contact
12.1 For any privacy, access, correction, deletion or fault inquiry: [ori@certainty-solutions.com / ______]. If a privacy protection officer is appointed — their details will be published in the System and database documents.
12.2 The in-System "A question? Ask us" channel may also be used; privacy inquiries are handled in a dedicated, logged track.
13. Law and Jurisdiction
13.1 These Terms are governed solely by the laws of the State of Israel. Exclusive jurisdiction — the competent courts of the Tel-Aviv–Jaffa district; matters within labor-court jurisdiction — the competent labor court.
13.2 These Terms address all genders equally.
